Terms of Use

These Terms of Use ("Terms") are an agreement between you and Belmont Labs, Inc., a Texas corporation ("Belmont Labs," "we," "us"), and govern your use of the Primary Care Live website at primarycarelive.com and the Primary Care Live mobile application (together, the "Service"). By creating an account or using the Service you accept these Terms. If you do not agree, do not use the Service.

1. What the Service is, and is not

Primary Care Live is a technology platform that medical practices use to offer video visits, home monitoring, messaging, and payments to their patients. Belmont Labs does not practice medicine and does not provide medical advice, diagnosis, or treatment. All care is provided by your practice and its licensed clinicians, who are independent of Belmont Labs and solely responsible for the care they provide.

The Service is not for emergencies. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room. Do not rely on the app, messages, or device readings in an emergency.

2. Eligibility and accounts

You must be at least 18 years old to create an account, or use an account managed by a parent or legal guardian. You agree to give accurate information, keep your password private, and tell your practice or us promptly if you believe your account has been used without permission. You are responsible for activity under your account. Practice staff accounts are issued and controlled by the practice, which may add, limit, or remove staff access at any time.

3. Video visits and location

Clinicians are licensed by state. You may only use video visits while physically located in a state where your clinician is licensed, and you agree to tell the truth about your location when the app asks. Your practice determines which visit types are appropriate for video. A visit may be ended and rescheduled in person at the clinician's discretion.

4. Home monitoring devices

Monitoring devices your practice provides remain the practice's property unless the practice tells you otherwise, and you agree to return them when asked. Devices must be used as instructed. Readings are transmitted to your practice for review by a clinician; the Service does not interpret readings for you and does not replace clinical judgment. If a reading concerns you, contact your practice or, in an emergency, call 911.

5. Messaging

Messages are for non-urgent questions. Your practice publishes its hours and expected reply time in the app. Messages are stored on the Service and are not sent by email. You agree not to send content that is unlawful, threatening, or that infringes anyone's rights.

6. Payments, cards on file, and fees

Payments made through the Service are processed by Stripe, Inc. Belmont Labs is the merchant of record for payments made in the app, and the practice receives the amount of your balance or copay in full. When you pay in the app, a Belmont Labs service fee and a payment-processing fee are added to your balance and shown to you, itemized, before you confirm; the current rates are published at primarycarelive.com/#fees. By saving a card, you authorize your practice to charge copays and balances for services you have received to that card, and you authorize Belmont Labs to charge the associated fees. You may remove a card at any time; amounts already authorized for services you have received remain due. Refunds and billing disputes about your care are handled by your practice.

Financing offered through Affirm is subject to Affirm's eligibility, terms, and privacy policy. Belmont Labs is not a lender.

7. Prescriptions and pharmacies

Prescriptions are issued solely at the clinician's discretion and sent electronically to the pharmacy you selected. Belmont Labs does not dispense medication. Confirm your pharmacy in the app before your visit.

8. Your consents

Your practice may require you to sign consents in the app (for example, consent to electronic records and signatures, telehealth, financial responsibility, and remote monitoring). Those documents are agreements between you and your practice. The Service records your typed name, the time, and technical details of the signing as evidence of your electronic signature under the federal E-SIGN Act and Texas law.

9. Acceptable use

You agree not to: use the Service for anyone other than yourself or a person you are legally authorized to act for; attempt to access another person's information; interfere with the Service, probe its security, or use automated tools against it; upload malicious code; or use the Service in violation of any law. We may suspend or end access for violations.

10. Intellectual property

The Service, including its software, design, and content, is owned by Belmont Labs and its licensors and is protected by copyright and other laws. We grant you a limited, revocable, non-transferable license to use the app on devices you own or control, for your personal, non-commercial use, subject to these Terms. Your health information is yours; your practice's records are governed by the practice's policies and applicable law.

11. Privacy

Our Privacy Policy explains what we collect and how we use it. Health information is protected health information under HIPAA; its use by your practice is described in your practice's Notice of Privacy Practices, which you can read in the app.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BELMONT LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEVICE READINGS ARE ACCURATE. BELMONT LABS MAKES NO WARRANTY ABOUT THE CARE PROVIDED BY ANY PRACTICE OR CLINICIAN.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BELMONT LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, AND OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO BELMONT LABS IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits the responsibility of your practice or clinician for the medical care they provide.

14. Indemnity

You agree to defend and indemnify Belmont Labs from claims arising out of your violation of these Terms or your misuse of the Service.

15. Changes to the Service or these Terms

We may change the Service and may update these Terms. If a change is material, the app will ask you to review and accept it before continuing. Continued use after the effective date is acceptance.

16. Termination

You may stop using the Service and ask your practice to close your account at any time. Your practice may close staff accounts at any time. Medical records are retained by your practice as required by law. Sections 10 through 17 survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas without regard to conflict-of-law rules. Any dispute with Belmont Labs will be brought in the state or federal courts located in Bexar County, Texas, and you consent to their jurisdiction. Disputes about medical care are between you and your practice.
